We are seeking an experienced and committed professional to join our corporate governance function based in Hong Kong. The successful candidate will be responsible for all matters relating to the Board of Directors to ensure compliance with statutory and regulatory reporting requirements. This role offers the opportunity to engage closely with senior management and contribute to the strategic and compliance-related activities of the organisation.

Key responsibilities include assisting in the organisation of board and committee meetings for various entities within the Group, including the preparation of agendas, coordination of meeting logistics, and drafting of accurate and timely minutes. You will also support the preparation and filing of annual returns and other corporate filings, ensuring adherence to the Hong Kong Companies Ordinance, Insurance Ordinance, and broader corporate compliance frameworks.

The role involves supporting both ongoing and ad-hoc governance projects, maintaining updated company secretarial records and statutory registers, and contributing to the drafting and revision of corporate governance policies and standards. A key part of your duties will be to promote the implementation of group-wide governance practices and provide coaching and supervision to company secretarial support staff as needed.

The ideal candidate will be a member of HKICS/ICSA or a qualified solicitor with 8 to 10 years of relevant experience, preferably within the insurance, banking or financial services industries. You must be proficient in written and spoken English and Chinese, and have hands-on experience in minute-taking for board and committee meetings. A collaborative working style, strong interpersonal and communication skills, and a proactive approach to problem-solving are essential. You should possess excellent organisational abilities, with proven experience in managing team resources and handling multiple deadlines with shifting priorities.

This position requires a self-motivated and detail-oriented individual, capable of working independently as well as part of a team. You should bring maturity, discretion and professionalism to the role, and be comfortable working in a fast-paced, dynamic environment where attention to detail and adherence to governance standards are critical.

This is a full-time position based in Hong Kong with a competitive salary offered in HKD, commensurate with experience and qualifications.
